I am in the Seattle area (13th market), and I expect that soon my area will be upgraded to MPEG4. I currently use 2 HTL-HD's and an OTA antenna, so I don't need to upgrade to get the local stations in HD. How long will the national HD channels be available on MPEG2? What would be my incentive to upgrade to MPEG4 if I don't need to get the HD locals from D*?

I live in Boston which apparently has gone through the conversion; however, I didn't switch yet. Same reasons as you are considering: I currently get the local HD channels OTA (which by the way are not HD-LITE) so why bother? It's not like I'm missing anything.
