Lots of company watchers were surprised to see AT&T agree to pay $49.5B for DirecTV figuring that Dish Network — which has been amassing wireless spectrum — would be a more logical target for the telco. But it turns out that Dish Chairman Charlie Ergen’s much discussed, but still nascent, plan to create a wireless broadband service made his company less attractive.

Dish has spectrum, but its spectrum is not top shelf. AT&T has 700 MHZ which is the current top shelf, they now want the new top of the line 600MHZ coming up at auction.
 
The telcos could easily agree to give up some spectrum to get the deal through Washington. A lot like Comcast concessions. The spectrum is not a problem to any Telco wishing to buy Dish.
