THE DISH NETWORK/TNT HD ALL-STAR PROMOTION SWEEPSTAKES
OFFICIAL RULES AND REGULATIONS
NO PURCHASE NECESSARY

1. NO PURCHASE NECESSARY. The DISH Network/TNT HD All-Star Promotion Sweepstakes (“Sweepstakes”) is open to legal residents of the 48 contiguous United States and the District of Columbia, except for the State of Florida, at least 18 years of age at the time of entry and with Internet access as of January 28, 2005. Employees and their immediate families (spouses, siblings, children, household members and the spouses and children of the foregoing) of Turner Network Television LP, LLLP (“TNT”) and EchoStar Satellite, L.L.C. (“DISH Network”) (collectively the “Sponsors”), Time Warner, Inc., the National Basketball Association (“NBA”) and its Member Teams, NBA Properties Inc., NBA Media Ventures, LLC, and their respective parents, subsidiaries, divisions, trustees, franchisees, participating vendors, distributors, advertising and promotion agencies and affiliated entities (collectively, the "Sweepstakes Entities") are not eligible to enter the Sweepstakes. By entering the Sweepstakes, participants agree to abide by all terms of the Official Rules and Regulations applicable thereto. Subject to all local, state and federal laws and regulations. Some restrictions apply. Void in Florida and wherever prohibited or restricted by law.

2. HOW TO ENTER: From February 1, 2005 – February 20, 2005 (the “Promotional Period”), participants can enter the Sweepstakes by signing up for DISH Network HD Service on the Internet at www.dishnetwork.com (“Internet Entry”). Internet Entry ends at 11:59 P.M. Eastern Time (“ET”) on February 20, 2005. Participants can also enter the Sweepstakes without signing up for DISH Network HD Services by going to www.dishnetwork.com, clicking on the Sweepstakes banner and registering by inserting name, address, phone number, birth date and e-mail address (“Alternate On-line Entry”). Alternate On-Line Entry ends 11:59 P.M. Eastern Time (“ET”) on February 20, 2005. Use of any automated entry software is prohibited. Limit one (1) entry per person, regardless of method of entry. No mechanical reproductions or facsimiles accepted. Sponsors are not responsible for incomplete, misdirected, lost, late or illegible entries. Sponsors are also not responsible for technical, hardware or software failures of any kind, lost or unavailable network connections or failed, incomplete, garbled or delayed software transmissions which may limit an entrants ability to participate in the Sweepstakes or damage to user’s system as a result of participation in the Sweepstakes or downloading any information necessary to participate in the Sweepstakes. Sponsors reserve the right in their sole discretion, to cancel or modify the Sweepstakes should any computer virus, malfunction or other cause beyond their control corrupt the administration, security or proper operation of the Sweepstakes. All entries become the property of the Sponsors and will not be acknowledged or returned. False or deceptive entries or acts, as determined by sponsors, will render the entrant ineligible.

3. HOW TO WIN: One (1) potential winner (the “Grand Prize Winner”) will be selected on or about March 20, 2005 by random drawing conducted by an independent judging agency from among the eligible entries received for all methods of entry. The odds of winning will be determined by the number of eligible entries received. The decisions of the independent judging agency will be final and binding. The Grand Prize Winner will be notified by phone; email and/or mail and must meet all eligibility requirements including the execution and delivery of all necessary releases. If a dispute arises regarding who submitted an on-line entry, the entry will be deemed submitted by the holder of the e-mail account as determined by Sponsors.

4. PRIZES: One (1) Grand Prize Winner will receive a trip to Houston, Texas for the 2006 NBA All-Star Game and certain related events (February 17-19, 2006) (the “Trip”). The Trip includes the following: (i) round trip coach airfare for two (2) from the major U.S. gateway airport nearest Grand Prize Winner’s residence to Houston, Texas; (ii) 3 days/2 nights hotel accommodations of TNT’s choosing, one (1) deluxe room, double occupancy; two (2) tickets each to the 2006 Rookie Challenge, the 2006 All-Star Saturday Night and the 2006 All-Star Game, and (iv) Three Hundred Fifty Dollars ($350) in spending money. The total approximate market value (“AMV”) of Trip is Four Thousand Six Hundred Dollars ($4,600).

The reporting and payment of any tax liabilities incurred by the entrant as a result of this Sweepstakes and any prize won are the sole responsibility of the entrant. No substitution or transfer of prize or cash redemptions permitted by Grand Prize Winner. The Sponsors reserve the right to substitute a prize of like value in the event the described prizes, or any portion thereof, is unavailable for any reason whatsoever. All prizes will be awarded.

5. GENERAL RULES AND REGULATIONS: By entering the Sweepstakes, participants grant Sponsors the right, unless prohibited by law, to use their names, voices, pictures and likenesses, without compensation, for the purpose of advertising and publicizing the goods and services of the Sponsors and all matters related to the Sweepstakes in any manner or medium, throughout the world in perpetuity. The Grand Prize Winner may be required to sign affidavits of eligibility, tax acknowledgement forms, liability releases and, except where prohibited by law, use of name and likeness releases (“Winner Documents”) and return within seven (7) days of issuance. Noncompliance within this time period may result in disqualification. Return of the prize or prize notification as undeliverable, failure of Sponsors to contact potential Grand Prize Winner based on contact information provided at registration, or failure of potential Grand Prize Winner to respond to notification attempts will result in disqualification and an alternate may be selected at the Sponsors’ discretion. In the event the Grand Prize Winner declines the prize or fails to return completed releases, Sponsors’ may elect, at their own discretion, to select an alternate winner. By entering, participants agree to release the Sweepstakes Entities from any and all liability claims or actions of any kind whatsoever for injuries, damages or losses to persons and property which may be sustained in connection with the receipt, ownership or use of the prize, or while preparing for, participating in, and/or traveling to any prize-related activity. The Sweepstakes Entities expressly disclaim any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the prize awarded. In the event more winner notifications are issued, or more winning prize claims are received, than the number of prizes set forth in these Official Rules due to computer, printing, seeding, human, or other error or problem, a random drawing will take place from all eligible prize claims for the prize(s) at issue to award the proper number of prizes as set forth in these Official Rules.

Grand Prize Winner is responsible for all travel documentation and must complete the Trip by February 20, 2006, or otherwise forfeit any claim to such prize package. Airline chosen at Sponsors’ sole discretion. Certain restrictions may apply. Actual value of prize may vary based on timing and point of departure. Grand Prize Winner is responsible for all expenses and taxes not included in the prize package, including, without limitation, all ground transportation, parking, meals, room service, souvenirs, phone calls, incidentals, tips, and other personal expenses.

In the event of sabotage, acts of God, computer virus or other events or causes beyond the Sponsors’ reasonable control which corrupt the integrity, administration, security or proper operation of the Sweepstakes, Sponsors reserve the right to cancel or suspend the Sweepstakes. In the event of cancellation, prizes will be awarded from among all eligible, non-suspect entries received prior to the event requiring such cancellation. Notice of cancellation will be posted at www.dishnetwork.com.

6. Construction: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any contestant and Sweepstakes Entities, shall be governed by, and construed in accordance with the laws of Georgia. In any action brought to enforce the obligation or right of any party hereunder participants hereby consent to personal jurisdiction and venue in any court of appropriate jurisdiction in Fulton County, Georgia, USA. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision.
