...with the notable exception of locking VOOM into a 15-year affiliation agreement and paying top-dollar the entire 15-channel lineup. The agreement made it almost impossible for VOOM to market their wares (e.g., break up the entire 15-channel lineup) to other MSOs without having to extend the same offer to Dish Network. Instead, VOOM decided to stick with Dish Network's pseudo-exclusive long-term contract since it was easy money. Of course, if Dish Network if judged to have illegally terminated the franchise agreement, they are going to have to compensate Rainbow Media for the remaining 12-years of the contract, pluys franchise fees in arrears from (Feb-May), and whatever penalties are awarded by the court.

VOOM is largely to blame for their demise due to their business plan, and decision to enter into the above business relationship with Dish Network. However, E* is far from being blameless and it will be Dish Network who will be footing up to 1-billion dollars should the court finds them responsible for breaking the affiliation agreement.
