against substantially all of the liabilities of the Rainbow DBS=20
satellite business existing at the closing or thereafter incurred.=20

would have incurred had it proceeded with its original plan to shut=20
down the service. Cablevision will incur certain severance costs in=20

Cablevision chair to buy remainder of Voom

THE ASSOCIATED PRESS

NEW YORK -- Charles Dolan, founder and chairman of Cablevision Systems
Corp., is not one to give up on his satellite TV plans.

After being forced by Cablevision's board of directors to sell
fledgling TV service Voom's only satellite to EchoStar Communications
Corp. for $200 million, Dolan said late Thursday that he is planning
to buy out the remainder of Voom's assets.

The deal includes Voom's 26,000 customers, 21 exclusive high
definition channels, various spectrum licenses and leased capacity.

Under the plan, Dolan, along with his son Tom Dolan and some other
Cablevision shareholders, will form a private company that will assume
Voom's liabilities and protect Cablevision from any losses.

Cablevision has signed a letter of intent agreeing to the transaction,
but the board must still approve final terms.

I think we are watching a well orchestrated play.=20=20

Act 1 was the sale of Rainbow 1, Voom's first satellite, to
Dishnetwork. With the availability of the rented 'Rainbow 2', selling
Rainbow 1 sound like a smart move since it operates at Ku-band while
the 5 new satellites will operate at Ka-band, a much higher capacity.=20

Act 2 is the separation from Cablevision. It probably allows much debt
to be restructured and open the door for Voom HD to license its
content to other satellite and cable operators.

Let's hope the Dolan's will succeed in finding the financing needed to
keep Voom HD alive with the rented satellite for 3 to 4 years while
the new satellites are built and launched by Lockheed Martin.

I also expect the number of subscribers to magically double in no time at
all. When you are buying a company form the stockholders and you have that
much control....You want the income potential to be as minimized as
possible.

Interesting to note that those agreements with Lockheed for 5 new satellites
were signed very late last year. Nov/Dec dates on the PRs that I have read.
That doesn't sound like a company who is on the verge of giving up and
selling their existing satellite, so I'm thinking there is much more behind
the scenes that we are all reading.

IMO, the "dumping" of Voom assets was primarily to pacify the Cablevision
shareholders and let the Board off the hook for any liability. Words to the
affect have even been used.

Even I have had my doubts about Voom when the spinoff was nixed. The events
of the last couple of weeks are uplifting indeed.

I wouldn't be surprised if the next release of subsriber numbers isn't
double. Everyone still quotes the 26k which is a very dated number. You
don't hear as much about churn and the install process seems to be slowly
working itself out.=20

While I think there have been missteps in the first year, they are clearly
working on the issues, the Dell marketing angle seems to be getting tractio=
n
and the coming months will be interesting, if nothing else.

Interesting to note that those agreements with Lockheed for 5 new satellite=

were signed very late last year. Nov/Dec dates on the PRs that I have read.
That doesn't sound like a company who is on the verge of giving up and
selling their existing satellite, so I'm thinking there is much more behind
the scenes that we are all reading.

IMO, the "dumping" of Voom assets was primarily to pacify the Cablevision
shareholders and let the Board off the hook for any liability. Words to the
affect have even been used.

Even I have had my doubts about Voom when the spinoff was nixed. The events
of the last couple of weeks are uplifting indeed.

I think you don't understand why voom was created.
Echostar wanted to buy directv and the feds said no so
echostar wanted a third sat operator in the mix to
show the FCC that in fact there was a competitive
market.
There must have been an agreement with the dolans that
in the event that the system did not work out that
echostar would buy Voom and hence echostar had not
committed to HD birds like Direct has. Now voom will
be integrated and to some extent kept separate as
stand alone service with Dish.

Jeff, I don't think Chuck Dolan would agree much with your assessment. I
know I don't.

The Echostar/DirecTV merger was killed in either late '02 or early '03. I
don't recall exactly. By that time the Voom concept was very much in
progress. Their satellite would have been well under construction in order
to meet the July '03 launch date.

BTW, Voom hasn't been sold to Echostar, only the Rainbow 1 satellite, an
uplink facility and the rights to transponders. All subject to FCC and
probably a host of other gov't agency approvals. It's not a done deal by a
long shot.=20

Rainbow also signed contracts for no less than 5 new satellites late last
year. I've seen no announcement of those contracts being canceled so one
would assume those contracts would be part of the recent deal between
Cablevision and the Voom HD, LLC group.

While some of what you said could be plausible it is clearly devoid of the
facts. Sorry, but I have gotten a bit frustrated with the internet of late
because people state their opinions as fact without clearly stating that it
is just conjecture. Then it is passed along like the old school game
telephone until your original opinion somehow becomes someone else's fact.
the internet can be a dangerous place for those who believe everything you
read. Bob Mankin has taken the time to research the situation a bit and I
have come to respect what he has to say and he clearly states when it is
fact and when it is just his opinion.

Let me get this straight. E* wanted to create a 3rd operator to prove there was a competitive market. Cablevision came along said, "sure Charlie, we will take loses of $75 million per quarter to help you out and will then sell you our new bird at a fraction of its cost".
