ENGLEWOOD, Colo.--(BUSINESS WIRE)--Jan. 20,
2005--EchoStar Communications Corporation (NASDAQ:
DISH) announced today that it has agreed to purchase
certain satellite assets from Rainbow DBS Co., a
subsidiary of Cablevision Systems Corporation (NYSE:
CVC), for $200 million.

Specifically, EchoStar has agreed to purchase Rainbow
1, a direct broadcast satellite (DBS) located at 61.5
degrees West Longitude, together with the rights to 11
DBS frequencies at that location. The satellite
includes 13 frequencies, up to 12 of which can be
operated in "spot beam" mode.

The EchoStar III satellite also located at 61.5
degrees West Longitude broadcasts DISH Network TV
programming to hundreds of thousands of consumers
today using DBS spectrum controlled by EchoStar at
that location. EchoStar is assessing how the Rainbow
satellite's flexibility can best be utilized to
enhance DISH Network's existing service. Also, as part
of the transaction with Cablevision, EchoStar will
acquire ground facilities and related assets in Black
Hawk, S.D. The transaction is subject to review by the
Federal Communications Commission and other regulatory
agencies.

Cablevision to Sell Rainbow Direct Broadcast Satellite and Certain Related
Assets to EchoStar for $200 Million

BETHPAGE, N.Y.--(BUSINESS WIRE)--Jan. 20, 2005--Cablevision Systems
Corporation (NYSE:CVC) today announced that it has entered into a definitive
agreement for Rainbow DBS Company LLC to sell its direct broadcast satellite
and certain other related assets to a subsidiary of EchoStar Communications
Corp. (Nasdaq: DISH) for $200 million in cash.


Under the terms of the agreement, EchoStar will acquire the Rainbow 1
satellite, located at the 61.5 degree W.L. orbital position, as well as FCC
licenses to construct, launch and operate DBS services over 11 frequency
channels at the 61.5 degree W.L. orbital location. In addition, EchoStar
will acquire the contents of Rainbow DBS's ground facility in Black Hawk,
S.D. and related assets. The transaction is subject to regulatory approvals.


Cablevision will continue to explore strategic alternatives, including
monetization, for its remaining Rainbow DBS related assets, including

VOOM will continue to provide service to its current customers during a

They are not off the air so just hold your horses. I work in the corporate
world and you can expect the unexpected in these situations. And
changeovers take time. I will continue to pay my bill and expect service
until I am told to do something different or sent a notice of termination of
services and a refund check for what i've already paid out.
I see nowhere in the announcement where it conclusively enumerates what is
going to happen and when. People have purchased equipment as well as
leasing from VOOM and this will have to be considered. There are legal
obligations plus there is a lot of issues to hash out.
I don't know that the name VOOM or any of their original programming will
survive but I'd rather be a subscriber at this moment than not. I might be
a bit concerned if I purchased the equipment rather than leased.
If there is a transition you can anticipate the strong possibility of some
very nice deals for existing VOOMers. I could be wrong but to take care of
us represents a drop in the bucket in exchange for ptential monthly revenue
stream for the long term. And that's what cable and Sat TV providers are
really fighting over.....

And there's no way to know now if that equipment will be obsolete or not.
Overall it's a great piece of technology and some of the Canadian DBS
companies may decide to use it because it's cost effective if Charlie
decides not to. I can't even tell for sure if the Dolans are done yet on
this one. There will be lots of interesting reading in the next few weeks
to months.
Tonight I'm going to watch"Tilt" on ESPN HD via VOOM. Damn good picture.

Personally, I think you are way off base here. Echostar did not buy
the VOOM business, they bought the Rainbow 1 satellite and related
equipment. VOOM basically will not exist when this deal goes
through. VOOM has no more satellite. It is just a matter of when
the satellite gets turned off.

When the satellite gets turned off???? I think you're exaggerting a bit
Scott.

Voom has leased space on a different satellite and has a new ground station
facility coming online. Coincidently, that's due to happen right about the
time they promised an increase in channels for March.

Chuck Dolan didn't get rich by being stupid. I doubt he sent out the memo
without knowing full well that Rainbow 1 was about to be sold. My guess is
he has more tricks up his sleeve than anyone here knows about yet.

Estimated 15 yr lifespan, only launched 18 mos ago and has MPEG4 capability.
Rainbow 1 was worth the $200M in Charlie's eyes probably because it gives
him a response to D* recent bandwidth announcement.

Did you read my comments? Way off base? you make it sound like there'll be
no VOOM signal almost immediately. How do you know what the details of the
deal are? It is at this point very private. There are all kinds of legal
wranglings and contracts to follow. Lawyers making their money. VOOM could
die and I said so. WE DON'T KNOW if or when. In the meantime, I am in
absolutely no jeopardy by continuing to enjoy the service and waiting for
any announcements that follow. What if the Dolan's bought VOOM and Echostar
bought Rainbow 1? Can Echostar just kick VOOM off their new satellite at
will. This is leased capacity. There are contractual obligations.

[VOOM] Cablevision Sells Satellite Business

While it was first reported echostar purchased rainbow 1, this article
seems to say it's more than just that. In any case, this yahoo group
will remain in operation as long as Voom exists so enjoy what Voom has

NEW YORK - Moving to unload an unprofitable venture, Cablevision
Systems Corp. on Thursday sold its satellite broadcasting business to
rival EchoStar Communications Corp. for $200 million cash.

The Long Island-based cable TV provider started the high-definition
satellite venture, which is marketed under the brand name VOOM, in the
fall of 2003. But the operation has struggled to turn a profit and has
dragged on Cablevision's finances and share price, as investors
worried about how long the company would fund VOOM.

The deal also calls for EchoStar, based in Englewood, Colo., to
acquire ground facilities and related assets in Black Hawk, S.D. The
sale is subject to review by the Federal Communications Commission
(news - web sites) and other regulators.

In a statement, Cablevision said it was continuing to review options
for its remaining satellite assets, and that VOOM service would
continue "during a transition period."

In its third quarter earnings report last year, Cablevision said the
VOOM service had just 26,000 customers and had posted an operating
loss of $75.3 million on revenues of $5.9 million.

EchoStar said it's assessing how the Cablevision satellite can be used
to enhance the company's DISH Network's existing service.

Cablevision has about 3 million cable customer households around New
York City.
