[VOOM] Re: Echostar Communication Buys Ranibow 1

Bob,

Wouldn't it just be easier to face the reality that VOOM is over?

Why would they continue the company without their main [and currently
only] satellite? Why would EchoStar buy VOOM's satellite to keep the
venture going?

Keith,
I don't mean to be persnickety but everything in your email to Bob is based
on conjecture. Both yours and the WSJ reported. Admittedly, good points
are raised but if I paid that much for something, which we don't know yet
exactly what that is that was purchased and what the intimate details of the
deal are, I would not get up tomorrow morning and make any changes. They
have yet to put a team of management people on it, check the books, etc.
Have you ever bought a company? A company that size will require some
serious appraisal before anything changes. After a period of review there
will be a new game plan for sure. It will make interesting reading. as
Gill says, "in the meantime, enjoying VOOM...."

I would ask my distributor (O'Rourke Bros.)what they think this all
means, but just last week they showed me a letter from Voom stating
all the rumors were lies and that no such talks were going on with
Dish Network.

This news shakes my confidence greatly in the character of
Cablevision, Voom and my distributor.
I will not be selling any more Voom until I understand that I have
bad information or am mistaken about the dealings with Dish Network.
I could normally just brush this off as a necessary business deal
and hope that Charlie will keep Voom as a separate entity.

They could have just stayed silent about the rumors and I've have
some respect.

But it's very hard to reconcile what I see today with the letter my
distributor showed me last week saying that they will not even
discuss things with Charlie Ergen. This comes down to dealing with
LIARS.

Please Wilt, tell us that Voom will remain a separate entity and we
1) won't lose Voom and 2) won't be losing it to Charlie.

If Charlie just used the HD capacity for Dish Nutwerks then it looks
like we'd all have to still deal with the biggest liar of them all
(Charlie).
When he owned Houston Tracker and then Echosphere and was marketing
C-Band product, They'd tell us every year that they fixed their
power supplies so we should feel confident and buy their new models.
NOT! Same problems year after year.
The first year they invited us C-Band dealers to be the initial
installation crews for Dish Nutwerks, someone raised the question of
when Dish would have the Sunday Ticket. Their response was to tell
us to tell the customers that they'd have the Sunday Ticket the
following year. NOT! Then the same promise the next year and the
next year. Then finally they came out with an advertisement
saying "All the football you'll need" which had Fox and CBS from 2-3
cities.
If Charlie isn't a lying scumbag, he sure needs to reign in those
that represent him.

Do not believe what you hear when Charlie is involved.

I still say Rainbow 1 is sold but Voom as a company is not sold. Voom=20=20
will lease the transponder space back from Dish as Sky Angel does from=20=20
Dish.

Keith, I can take it either way. Life will go on. I'm just pointing out that
we don't know all the details yet.

The WSJ is paraphrasing without all of the facts. I don't recall in any
Echsostar or Cablevision PR where they said it was shutting down Voom. Did
you read that?

Rainbow 1 and the base station in S.D. are only some of the assets. What
about the rest of them? What about the leased space on the other satellites
already contracted for?

We'll know the rest of the story in the coming days.

I still say Rainbow 1 is sold but Voom as a company is not sold. Voom
will lease the transponder space back from Dish as Sky Angel does from
Dish.

Let me say this. VOOM is now dead as of tonight. They sold Rainbow
1 and now do not own a satellite. The signal may continue to be
sent out until the deal is approved by the FCC. When the signal
actually is turned off is anyone's guess. However, it is now a
matter of when the VOOM signal goes off not if.

We're talking about two public companies. They don't just release
"ideas" as press releases. The status of Rainbow DBS is way too
important to Cablevision and its shareholders for them to screw
around. They wouldn't announce something if it was the case.

It's pretty clear: Cablevision and EchoStar reached a "definitive
agreement" to "sell its direct broadcast satellite and certain other
related assets".

What's the other related assets? The release goes on to explain:
"FCC licenses to construct, launch and operate DBS services over 11
frequency channels at the 61.5 degree W.L. orbital location. In
addition, EchoStar will acquire the contents of Rainbow DBS's ground
facility in Black Hawk, S.D. and related assets."

What's happening with all the other stuff?
"Cablevision will continue to explore strategic alternatives,
including monetization, for its remaining Rainbow DBS related assets,
including programming, equipment and spectrum."

certainly enjoy VOOM while it lasts. Don't be surprised if it's not on
anymore on 2/1 tho. That seems to be one of the only things that will
convince a bunch of you of the reality.

why would either company do that? that's just silly. Voom couldn't
survive owning it and why would Echostar want to lease something it
could really use for their own service? that's just crazy fantasy.

The only facts missing are what the Cablevision consides a "transition
period."

"VOOM will continue to provide service to its current customers during
a transition period."

Why would they lease space on other satellite to continue an
unprofitable service? Think more people will join if VOOM starts to
offer LESS programming and features?

I don't see much risk in anyone currently wishing to have Voom
installed on the lease deal.
It's the dealer/ Installer that gets to wonder for 45 days (typical
payment cycle) if he's wasting his time or not.

Cablevison release said "VOOM will continue to provide service to
its current customers during a transition period".

I cannot believe that these words ("a") were not chosen
specifically instead of "through the transition perion or something
else to specifically say that Voom service will continue on (along
with their ability to pay their installers and dealers.

While I doubt this scenario will happen, I do like the idea.

Look, if ATT wireless can come back to life reselling Sprint wireless services why can't Voom exist in some form on a Dish bird. I've always hoped that they would turn into an HD only service to supplement my cable service.

I think the key to the possibility of a deal is the 'value' of the $200m price tag. Is it too good of a deal suggesting that there might be a backroom deal still brewing?

I still say Rainbow 1 is sold but Voom as a company is not sold. Voom
will lease the transponder space back from Dish as Sky Angel does from

Scott, they AGREED to sell the satellite to E*. It is subject to FCC and DOJ
approval. It's not a done deal until then. You don't broadcast jack without
that approval, so unless they get jollies out of hardware simply flying
around in space, don't jump the gun. Let's not forget that the gov't already
nixed one DBS buyout, so they obviously have some concerns.

Echostar was denied added licensing 2 years ago and those very frequencies
were awarded to Cablevision instead(you can Google to find the PR). My
question is, why? The FCC just limited on frequencies or did they not want
E* to have them for other reasons. That needs to be answered. If the FCC has
their number for some reason, the deal will not close. E* already has a bird
at 61.5 What impact does that have?

If Keith is adamant about the lights going out on 2/1, then I'll buy him a
beer if he's right! Does anyone seriously think the FCC moves in that kind
of timeframe? Cablevision has that "transition period" phrase in there and
somehow it will all sort out in 10 days??? LOL!

This is just hilarious how everyone has it figured out. Is the list full of

Why would the FCC and DOJ block the deal and don't you think both
companies did some research to make sure there is a good chance it
will pass before they signed on the dotted line? These are public
companies who are dealing with important assets.

So let's just explore the idea the FCC says no.

Cablevision: We're looking to sell our dish because we no longer wish
to invest money in it. The business isn't viable. (reports have
estimated they will have to spend up to $1.5B to keep the service
going the next two years).

FCC: No. You can't.

Cablevision: OK, well, we're not investing any more. Enjoy the space
junk.

At some point the FCC would take back the DBS frequencies and auction
them off to someone new. I highly doubt the FCC would let something
like that happen when they can see the deal makes sense for both
companies. It makes sense for Cablevision cause they can't/don't want
to continue to support it. It makes sense for Echostar because they
will able to compete better with DirecTV. It's pretty fair market
value for the dish too.

As far as 2/1, I look forward to drinking that beer. I can't imagine
them leaving the service on for much longer. That would just be silly.

A WSJ article yesterday (1/19) said this:
"At a three-hour meeting via phone, the board asked Cablevision's
management to give it a plan for cutting back funding of the service,
known as Voom, which launched about a year ago.

The board also asked for a status report on efforts to sell the
business. The company has funded the service, which lost $75.3 million
in the third quarter of last year, only until the end of the month,
people said."

Which means i'd be surprised to see the service continue past 1/31.
Why the heck would they continue to lose money when they are going to
be shutting down the system? Shareholders would revolt. I'm surprised
they haven't already. Cablevision has a good business going and VOOM
is pulling down earnings big time.

What's in the drinks/food some of you are consuming? I want some.

You misunderstand. Have you ever written a press release? They are vague
when needed and this one does not spell things out. I will be extremely
surprised if VOOM DOOM is on 2/1. Reality is when something actually
happens not when someone tries to read through the lines of a couple of
"official" press release announcements the day of the big business deal.
I am not saying your conclusion will prove to be incorrect, I'm just saying
that you can't really know unless you are in the insiders group with the
Dolans and the Ergans.
As to convincing me you have, I'm throwing out my VOOM receiver in the
morning. Why would I watch all that good programming knowing it could end
soon?
