Deal is dead... ?

Just got a call from a friend who tells me (unofficially) the deal is dead. He says they are celebrating.

What a wild turn of events. Dish lives on. Don't know what this means for DIRECTV.

This is what my contacts have been telling me all along. Haven't found a reason to doubt them yet.

Business as usual and now DISH sits in a very good place.

Again, if true, a astounding bad decision on TPG part, that is why it is so hard to believe.

TPG Capital trades on the NASDAQ, they have shareholders (investors) plus a Board of Directors to answer to, if they really lost $2.5B to a company that was close to Bankruptcy, there will be firings, massive firings.

TPG Capital has a market cap of $24.05 Billion, so losing $2 Billion is a big deal for a equity fund of that size.

Again, until Echostar can prove they can monetize the spectrum, they are not in a good place, losing 3 Million out of 10M Cell Phone Subscribers in just 4 Years, after multiple marketing attempts, is not a good sign.

Along with the decreasing revenue from their TV Service and Satellite Internet.

They have massive hurdles.

But it is worse for DirecTV, based on the math.

I have to ask...does this really seems feasible that TPG would just piss away more than $2 billion dollars? All of the articles available state that DISH received "financing" agreements in September. Financing is not free in the financial world. Financing is a loan.

Now, DirecTV is walking away from the plan. "A successful [debt] exchange was a condition for acquiring the Dish video business," a DirecTV spokesperson said Wednesday in an email sent to The Washington Post and other news organizations. "Given the outcome of the EchoStar exchange, DirecTV will have no choice but to terminate the acquisition of Dish by midnight Nov. 22."

The debt exchange was not successful...at least so far.

Also from that same article:

In a note Wednesday, Craig Moffett, an analyst for MoffettNathanson, said EchoStar is "all but insolvent" after the bondholders' rejection of the debt terms. The simplest path to get the deal back on track, Moffett wrote, would be for TPG Capital, the private equity firm that would own the merged DirecTV/Dish Network, to "sweeten the deal" for bondholders, but that seems unlikely since the companies have already attempted to boost the value of the proposed swap.

And I am agreement with you, makes no sense they would just give away $2 Billion, TPG is a big equity firm, but not that big.

As far as Echostar being insolvent as reported by Moffett, I have read Echostar received $5B in new funding, I have no idea if that was related to the merger, but that and the $2B takes care of the debt for 2024 and 2025.

But they will still need more cash to continue the build out and the expansion plans they laid out to the FCC, as conditions for changing the deadline, but since they are losing money every quarter, maybe that is what he is referring to.

Yes but that new funding is just adding more debt. Kicking the can down the road. They are in this predicament because of debt. Their solution seems to be "lets add some more debt".

It will bit them in the end if they cannot turn things around, but still safe for a couple of years.

i feel like this failure to merge maybe a test to see if the Dish or DirecTV assets are valuable enough for a major cable provider to buy out instead, i get the feeling that Dish or DirecTV may now end up being bought out by either Charter Communications/Spectrum or Comcast/Xfinity to try to extend their reach to rural areas without using fiber optics cables or traditional copper cables and turn the dishes into something to beam internet signals to offer TV streaming services with.

I can just about guarantee that if Dish were spun off and went into bankruptcy, the federal bankruptcy judge would beat up on the bondholders.
First thing the judge would say is those millions of subscribers are not going to lose their service
Next he/she would say EchoStar valued the business at $0.

Then he/she would decide how much pain the bondholders would have to experience to reorganize the business with a debt load it could support.
EchoStar would be out of it but they already have decided to get out of the business so no skin off their nose.

Season 2 order already in hand:

'Star Trek: Starfleet Academy' Renewed for Season 2, Tatiana Maslany to Guest Star in Season 1

I've not been optimistic about this show based on what I've read so far. Seems to be aimed at a younger audience. Interesting though that Tatiana Maslany will have some sort of role.

Here i am over a year later and just finished season 1. Not great but not as bad as I was expecting. Did not care for the barefoot captain stuff but overall ok. Actually looking forward to see what they did for season 2.

Yeah, the foot stuff was just nasty. I kept thinking of how dirty her feet would get traipsing around shoe-less. Funny, I love being shoe less at home and never wear shoes indoors in my home for long, but seeing her laying on all her furniture with her bare feet hanging out just kind of grossed me out.

There would still be dirt ,dust in the future I am sure. So walking around the station like she did she would get stuff on her feet. I am sure the robot vacuum is still going to miss stuff, with all those different alien species running around there.

I don't know, but I still don't like her walking through the station or the academy with out her shoes. It looks unprofessional and very "hippy like" for someone of her status and I personally don't get off to feet, so there is that.

I think they were more of a transitional receiver bridging the VIPs to the Hopper. They were a PITA to install and were buggy. Personally, I thought at the time that they were the best receiver out there. The versatility of the VIP's with the new Hopper GUI and, by far, the coolest-looking front plate and lighting.

Well if it is because of reliability that wouldnt shock me.I went through 5 or 6 of them in little over 2 years. I loved the Sling when it worked! Saved lots of money having it in the day. That was probably 15 or 16 years ago?

I don't recall that they came out just before hopper, but rather that they came out even before 722. Or could be thinking of 921.

As to the title pf the post, "rare" does not necessarily mean valuable or desirable.
